Terms of Service

Please read these Terms of Service ("Terms") carefully before using Noodle. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Noodle is a thought-capture application for iOS, including associated web services and any related products or features we may offer ("Service"). The Service is operated by Noodle.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will give reasonable notice of material changes where possible.

2. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you confirm that you meet this age requirement and that you have the legal capacity to agree to these Terms. If you are under 18, you confirm that you have parental or guardian consent.

3. Your account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@noodleapp.xyz if you suspect unauthorised access.

You may not share your account with others, create accounts on behalf of others without authorisation, or use automated means to create accounts.

You agree not to use the Service to:

We reserve the right to suspend or terminate your account if you violate these rules.

5. Your content

You retain full ownership of all content you create, capture, or store using the Service ("Your Content"). We do not claim any ownership rights over Your Content.

By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free licence to store, process, and transmit Your Content solely to provide and improve the Service, including AI features you choose to enable. This licence ends when you delete your content or close your account.

You are solely responsible for Your Content and for ensuring it does not violate any applicable laws or third-party rights.

6. Subscriptions and payment

Free tier

A free tier is available with no payment required. Free tier features and limits are described on our pricing page and may be adjusted from time to time with reasonable notice.

Pro and Teams subscriptions

Paid subscriptions are billed through Apple's In-App Purchase system. Prices are shown in GBP and may vary by region. Your subscription renews automatically unless cancelled at least 24 hours before the end of the current billing period.

To cancel, manage your subscription in your Apple ID settings. Cancellations take effect at the end of the current billing period; no partial refunds are issued. Refund requests for Apple In-App Purchases are handled by Apple in accordance with their policies.

Price changes

We may change subscription prices at any time. We will give you at least 30 days' notice of any price increase. Your continued use of the Service after a price change takes effect constitutes acceptance of the new price.

7. Intellectual property

All rights in the Service, including its design, code, branding, and content (excluding Your Content), are owned by Noodle or our licensors. Nothing in these Terms grants you any rights in the Service except as expressly stated.

"Noodle" and associated marks are trademarks of Noodle. You may not use our trademarks without prior written permission.

8. AI features

Certain features of the Service, including Untangle mode, use artificial intelligence. Your use of AI features is also governed by our AI Policy. AI features are optional and can be disabled at any time in the app settings.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that the Service will be uninterrupted, error-free, or free from viruses or other harmful components. We are not responsible for any loss or corruption of Your Content, and we recommend you maintain your own backups.

10. Limitation of liability

To the fullest extent permitted by applicable law, Noodle's total liability to you for any claims arising from or related to the Service shall not exceed the greater of (a) the amount you paid to us in the 12 months preceding the claim or (b) £10.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities.

Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

11. Termination

You may close your account at any time by contacting us at hello@noodleapp.xyz or using the account deletion option in the app. We will delete Your Content within 30 days of account closure.

We may suspend or terminate your account with immediate effect for material breaches of these Terms, or with 30 days' notice for any other reason.

12. Governing law and disputes

These Terms are governed by the laws of England and Wales. Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless you are a consumer resident in another jurisdiction with mandatory consumer protection rights, in which case those rights are not affected.

13. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notification at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
